1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (an individual or the entity you represent) and Aistra LLC ("Aistra," "we," "us," or "our"), operating as Aistra Labs. By accessing or using our website at aistralabs.com and our AI-powered platform and services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or do not agree to these Terms, you may not use the Services.
2. Description of Services
Aistra provides AI-powered software and services designed to support B2B SaaS revenue teams, including but not limited to: outreach automation, sales development representative (SDR) workflows, deal intelligence and closing support, customer support automation, onboarding orchestration, customer success management, and account management tooling (collectively, the "Platform").
The specific Services available to you depend on your subscription plan and any applicable order forms or statements of work executed between you and Aistra.
3. Account Registration and Access
To access the Platform, you must register for an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at security@aistralabs.com of any unauthorized use.
You may not share account credentials, allow concurrent access by multiple users beyond your licensed seats, or otherwise circumvent access controls.
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party right
- Send unsolicited commercial messages in violation of CAN-SPAM, GDPR, or similar laws
- Collect or harvest personal data without appropriate legal basis
- Distribute malware, viruses, or other harmful code
- Attempt to gain unauthorized access to systems or networks
- Engage in deceptive, misleading, or fraudulent conduct
- Impersonate any person or entity
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any part of the Platform
- Use the Services to train competing AI models or services
5. Customer Data and Intellectual Property
5.1 Your Data
You retain all ownership rights to data, content, and materials you submit to the Platform ("Customer Data"). You grant Aistra a limited, non-exclusive license to use Customer Data solely to provide and improve the Services for your account.
5.2 Aistra's Intellectual Property
Aistra retains all rights, title, and interest in and to the Platform, including all underlying AI models, software, algorithms, interfaces, documentation, and related materials. These Terms do not grant you any ownership rights to the Platform.
5.3 Feedback
If you provide feedback or suggestions about the Services, you grant Aistra an irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.
6. Confidentiality
Each party agrees to maintain the confidentiality of the other party's non-public information ("Confidential Information") and to use it only for purposes of performing obligations under these Terms. Confidential Information does not include information that is publicly known, independently developed, or rightfully obtained from a third party without restriction.
7. Payment and Billing
Fees for the Services are set forth in your applicable order form or subscription agreement. All fees are due as specified and are non-refundable except as expressly stated. Aistra reserves the right to modify fees with at least 30 days' prior written notice. Failure to pay may result in suspension or termination of access.
8. Term and Termination
These Terms remain in effect until terminated. Either party may terminate for convenience with 30 days' written notice, or immediately for material breach that remains uncured after 15 days' notice. Upon termination, your access to the Services will cease and we will provide a reasonable opportunity to export Customer Data.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED. AI-GENERATED OUTPUT IS PROBABILISTIC IN NATURE; YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING ANY OUTPUT BEFORE ACTING ON IT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AISTRA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. AISTRA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO AISTRA IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Aistra and its officers, directors, employees, and agents from any claims, liabilities, damages, and costs (including reasonable attorneys' fees) arising from: (a) your use of the Services in violation of these Terms; (b) Customer Data you submit; or (c) your violation of any applicable law or third-party right.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction. The arbitration shall take place in Delaware.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
13. Modifications to Terms
Aistra may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or prominent notice on the Site. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
14. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and Aistra regarding the Services.
- Severability: If any provision is found unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force.
- Waiver: Failure to enforce any provision shall not constitute a waiver of future enforcement.
- Assignment: You may not assign these Terms without Aistra's prior written consent. Aistra may assign these Terms in connection with a merger or acquisition.
- Force Majeure: Neither party shall be liable for delays or failures due to causes beyond its reasonable control.
